Terms of Service

1. The Services

eSignSure provides electronic signature and document workflow features, including sending documents for signature, tracking status, and downloading completed agreements. Our cloud offering is provided on a usage-based (credit) model unless otherwise agreed in writing. We also offer an on-premise edition for organizations that deploy software within their own infrastructure, subject to a separate agreement. Documents processed through the Service are intended to be uploaded as PDF files, consistent with our product documentation and FAQ.

2. Eligibility and accounts

You must have authority to bind yourself or the organization you represent. You are responsible for safeguarding account credentials and for all activity under your account. You agree to provide accurate registration information and to keep it current. Recipients who sign documents through an invitation link may not need a full eSignSure account, but their use of signing links is still subject to acceptable use and applicable law.

3. Acceptable use

You will not misuse the Services. Without limitation, you agree not to: violate any law or third-party rights; upload unlawful, fraudulent, or harmful content; probe, scan, or test the vulnerability of our systems without authorization; interfere with other users; reverse engineer our SaaS except to the extent permitted by law; or use the Services to distribute malware or spam.

We may suspend or terminate access if we reasonably believe you have breached these Terms or pose a risk to the Services or other customers.

4. Fees and payment

SaaS fees, credits, and taxes are as shown at purchase or in your order. On-premise licensing and enterprise arrangements are quoted separately. Unless stated otherwise, fees are non-refundable except where required by law or expressly agreed in writing. Late payments may result in suspension of the Services.

5. Intellectual property

We retain all rights in eSignSure, including software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription or trial. You retain ownership of documents and content you upload; you grant us only the rights necessary to host, process, and deliver the Services as described in our Privacy Policy.

6. Electronic signatures

eSignSure is designed to support legally enforceable electronic signatures where applicable law permits. You are responsible for determining whether a particular transaction or document type meets your compliance requirements. We do not provide legal advice.

7. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

8. Limitation of liability

To the maximum extent permitted by applicable law, neither Sash Info Services Pvt. Ltd. nor its affiliates will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of these Terms or the Services will not exceed the amounts you paid us for the Services in the twelve (12) months before the claim (or, if none, one hundred dollars).

9. Indemnity

You will defend and indemnify us against claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services in breach of these Terms, or your violation of applicable law or third-party rights.

10. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk, non-payment, or discontinuation of the Services with reasonable notice where practicable. Provisions that by their nature should survive will survive termination.

11. Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Continued use after changes constitutes acceptance where permitted by law.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts located in India shall have exclusive jurisdiction, subject to any mandatory rights you may have under local consumer protection laws.
